Please read these Terms carefully. By creating an account or using Wenect, you agree to be bound by these Terms of Service. If you do not agree, you may not use the platform.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Wenect, an Austrian company ("Wenect", "we", "us", "our"), governing your use of the Wenect platform, including the mobile applications (iOS and Android) and the web platform accessible at wenect.app (collectively, the "Service").

By downloading, installing, registering, or using the Service, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Eligibility

You must be at least 16 years of age to use Wenect. By using the Service, you represent and warrant that you are at least 16 years old.

If you are between 16 and 18, you represent that your legal guardian has reviewed and agreed to these Terms on your behalf.

Wenect is intended for professional use. You represent that any information you provide about yourself is accurate and up to date.

3. Accounts & Registration

You may create a Wenect account using your email address and password, or by signing in via Google, Apple, LinkedIn, or GitHub OAuth.

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately at support@wenect.app if you suspect unauthorised access

You may not share, transfer, or sell your account to any other person. Each account is for a single individual user. You must provide accurate and complete registration information and keep it updated.

4. The Wenect Platform

Wenect is a Living Professional Identity Platform that enables users to:

  • Create, customise, and share digital business cards
  • Generate dynamic QR codes linked to their professional profile
  • Scan physical business cards and event badges via OCR technology
  • Collect, organise, and annotate professional contacts
  • Capture leads from visitors to their public card page
  • Network at events with event-specific card modes
  • Share professional identity via Apple Wallet and Google Wallet passes
  • Receive analytics on card views and QR scans
  • Use AI-powered features to enhance professional profiles

Features may vary by subscription plan. We reserve the right to modify, add, or remove features at any time with reasonable notice.

5. Subscriptions & Payments

5.1 Plans

Wenect offers the following subscription plans:

  • Free Plan: Limited features, available at no cost.
  • Wenect Pro: Monthly ($3.99/month) or Annual ($39.99/year).
  • Wenect Business: Monthly ($7.99/month) or Annual ($79.99/year).

Prices are in USD and may be subject to applicable local taxes. Prices may vary by region.

5.2 Billing & Auto-Renewal

Subscriptions are billed in advance on a recurring basis (monthly or annually). Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise Wenect (via Stripe) to charge your payment method on each renewal date.

5.3 Cancellation

You may cancel your subscription at any time through the app (Settings > Subscription) or by contacting us at support@wenect.app. Cancellation takes effect at the end of the current billing period. You retain access to paid features until then.

5.4 Upgrades & Downgrades

You may upgrade your plan at any time; the change takes effect immediately and you will be charged a prorated amount for the remainder of your billing period. Downgrades take effect at the next renewal date.

5.5 Refunds

All subscription fees are non-refundable except where required by applicable law. If you believe you are entitled to a refund, contact us at support@wenect.app. Wenect may issue discretionary refunds in exceptional circumstances at our sole discretion.

5.6 Failed Payments

If a payment fails, we may suspend access to paid features until the outstanding amount is resolved. We will notify you by email if a payment fails and provide a grace period to update your payment details.

5.7 Pricing Changes

We reserve the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price change via email and in-app notification before the new price takes effect. Price changes will not affect the current, already-paid billing period. If you do not agree to a price change, you may cancel your subscription before it takes effect.

6. Acceptable Use

You agree to use Wenect only for lawful purposes and in compliance with these Terms. You must not:

  • Impersonate any person or entity, or misrepresent your affiliation with any person or organisation
  • Harass, abuse, threaten, stalk, or intimidate other users
  • Upload or share unlawful, defamatory, obscene, offensive, hateful, or harmful content
  • Send spam or unsolicited commercial communications to other users
  • Violate any intellectual property rights of Wenect or third parties
  • Collect or store personal data about others without their informed consent
  • Attempt to gain unauthorised access to any part of the platform or another user's account
  • Use automated tools, bots, scrapers, or data mining tools to access or collect data
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Interfere with or disrupt the integrity or performance of the Service
  • Engage in fraudulent, deceptive, or misleading activity
  • Use the platform to distribute malware, viruses, or any harmful code
  • Violate any applicable local, national, or international law or regulation

Violation of these rules may result in immediate account suspension or permanent termination without refund and, where applicable, referral to law enforcement.

7. User Content

You retain full ownership of all content you upload, create, or share on Wenect ("User Content"), including your business card information, profile photo, portfolio images, voice clips, and other materials.

By uploading or sharing User Content, you grant Wenect a worldwide, non-exclusive, royalty-free, sublicensable licence to use, host, store, display, reproduce, and distribute such content solely for the purpose of operating and providing the Service to you and, where applicable, displaying your public card page to visitors.

You represent and warrant that:

  • You own or have the necessary rights to all User Content you provide
  • Your User Content does not infringe the intellectual property, privacy, or other rights of any third party
  • Your User Content complies with these Terms and all applicable laws

We do not claim ownership over your User Content. We will not sell or license your User Content to third parties beyond what is necessary to provide the Service.

8. Intellectual Property

All intellectual property rights in and to the Wenect platform — including the software, source code, design, branding, logos, trademarks, trade names, and all content created by Wenect — are and remain the exclusive property of Wenect.

Nothing in these Terms grants you any right to use Wenect's trademarks, logos, or branding without our prior written consent. You may not copy, modify, distribute, sell, or create derivative works based on any part of the Wenect platform without our express written permission.

9. Service Availability

We aim to provide a reliable, high-quality service, but we cannot guarantee uninterrupted, error-free access. The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

We may perform maintenance that temporarily interrupts the service, modify or discontinue features with reasonable notice, and impose limits on certain features for free plan users. We will endeavour to provide advance notice of significant planned maintenance.

10. Privacy

Our Privacy Policy explains how we collect, use, and protect your personal data in compliance with the GDPR and other applicable data protection laws. By using Wenect, you acknowledge that you have read and understood our Privacy Policy.

11. Third-Party Services

Wenect integrates with third-party services including Stripe (payments), Google (sign-in, storage, Wallet), Apple (sign-in, Wallet, push notifications), OpenAI (AI features), Resend (email), and Replit (infrastructure). Use of these services is subject to their respective terms of service and privacy policies. Wenect is not responsible for the practices of third-party service providers.

The platform may allow you to link to external websites or calendar services (e.g. Calendly, Cal.com). Wenect is not responsible for the content, availability, or privacy practices of any external sites or services.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Wenect shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if advised of the possibility of such damages.
  • Wenect's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) €100 or (b) the total fees paid by you to Wenect in the twelve (12) months preceding the event giving rise to the claim.
  • These limitations apply regardless of the theory of liability — whether contract, tort, negligence, strict liability, or otherwise.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages, so some of the above limitations may not apply to you in full. In such cases, liability is limited to the greatest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Wenect, its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service in violation of these Terms
  • Your User Content
  • Your violation of any rights of a third party
  • Your violation of any applicable law or regulation

14. Termination

You may delete your account at any time through the app (Settings > Account > Delete Account) or by submitting a request at wenect.app/data-deletion. Account deletion is processed within 30 days.

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the safety or integrity of the platform or other users.

Upon termination, your right to use the Service ceases immediately. We will process the deletion of your personal data in accordance with our Privacy Policy. Sections 8, 12, 13, and 15 survive termination.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Austria, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the competent courts of Vienna, Austria.

Consumers residing in the EEA retain the right to benefit from any mandatory consumer protection provisions of the law of their country of habitual residence, regardless of the above choice of law.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Service, applicable law, or business practices. When we make material changes, we will update the "Last Updated" date, display an in-app notification on your next login, and send an email notification for significant changes.

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and may delete your account.
